📝 Job Profile

• Act as Company Secretary and organize Board & Subcommittee meetings
• Prepare agendas, minutes, and meeting documents
• Ensure compliance with CBSL, CSE, and SEC regulations
• Act as liaison officer with regulatory authorities
• Coordinate AGMs, EGMs, and strategic meetings
• Handle annual reports and dividend-related work
• Facilitate CBSL examinations and document submissions
• Maintain confidential corporate records
• Support Board in appointments, resignations, and approvals
• Submit affidavits to Central Bank of Sri Lanka
• Manage corporate governance assessments

🎓 Candidate Requirements

• Associate / Fellow Member of Chartered Corporate Secretaries or equivalent
• Attorney-at-Law qualification (preferred)
• 10+ years experience (3+ years senior level)
• Registered Company Secretary
• Experience in Board advisory roles
• Strong knowledge of CBSL & Colombo Stock Exchange regulations
• Fluent in English (written & spoken)
• Good knowledge in MS Office, Board PAC & digital tools
• Excellent interpersonal & documentation skills
